Terms of Service

Welcome to FLOW by Flow.Vin Ltd. ("FLOW", "Company", "we", "our", or "us"). These Terms of Service ("Terms") govern your access to and use of the FLOW platform, applications, software, websites, APIs, telemetry systems, AI systems, and related services (collectively, the "Services").

By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. Eligibility

You must be legally permitted to use the Services in your jurisdiction.

By using the Services, you represent that you have the legal authority and required permissions to accept these Terms.

2. Nature of the Services

FLOW provides Artificial Driving Intelligence ("ADI") software intended for:

  • Driver training
  • Driving evaluation
  • Performance analytics
  • Driver assistance
  • Simulation environments
  • Operational workflow management
  • Telemetry analysis
  • Real-time advisory alerts and recommendations

FLOW is not an autonomous driving system and does not control vehicles.

The Services are intended solely as advisory and informational tools.

3. Artificial Driving Intelligence Disclaimer

Artificial intelligence and machine learning technologies are probabilistic and may produce inaccurate, incomplete, delayed, or incorrect outputs.

By using the Services, you acknowledge and agree to the following:

3.1 Advisory Nature of the Platform

  • FLOW provides recommendations, alerts, analytics, and assistance only.
  • All outputs are advisory in nature.
  • FLOW does not replace driver judgment, instructor supervision, professional training, or legal driving responsibility.
  • Drivers remain fully and solely responsible for operating vehicles safely and lawfully at all times.

3.2 No Reliance

You must not rely solely on FLOW outputs, warnings, trajectories, recommendations, or telemetry insights when operating a vehicle.

Users are solely responsible for independently evaluating all outputs and making final operational decisions.

3.3 System Limitations

The Services may contain errors, inaccuracies, delays, missing information, incorrect classifications, false positives, or false negatives.

Performance may vary due to GPS limitations, sensor quality, connectivity issues, environmental conditions, hardware limitations, and user configuration.

FLOW does not guarantee accident prevention, hazard detection, route accuracy, or operational safety.

3.4 Assumption of Risk

Driving and vehicle operation involve inherent risks.

By using the Services, users voluntarily assume all risks associated with real-world driving, simulator operation, driver training, reliance on telemetry or AI-generated outputs, and operational deployment of the Services.

4. Limitation of Liability

To the fullest extent permitted by applicable law, FLOW, Flow.Vin Ltd., its affiliates, officers, employees, contractors, licensors, and partners shall not be liable for:

  • Accidents
  • Personal injury
  • Death
  • Property damage
  • Vehicle damage
  • Operational losses
  • Data loss
  • Business interruption
  • Indirect or consequential damages
  • Decisions made based on system outputs

arising from or related to the use or inability to use the Services.

The Services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind.

4.1 Liability Cap

To the maximum extent permitted by applicable law, the total liability of FLOW for any claim arising under these Terms, including for any implied warranties, is limited to the amount paid by the user to FLOW during the twelve (12) months preceding the event giving rise to the claim.

5. Access and Use

Subject to these Terms, FLOW grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for lawful internal or personal purposes.

You may not:

  • Reverse engineer the Services
  • Copy or resell the platform
  • Circumvent security mechanisms
  • Use the platform unlawfully
  • Interfere with platform functionality
  • Attempt unauthorized access to systems or data

6. Accounts and Security

You are responsible for maintaining account confidentiality, securing login credentials, and activities conducted under your account.

You must immediately notify us of any unauthorized access or security incident.

We reserve the right to suspend or terminate accounts that violate these Terms.

7. Data Ownership and Usage

Users and organizations retain ownership of their uploaded and generated driving data, telemetry data, session data, and performance metrics.

FLOW may process such data solely for:

  • Operating the platform
  • Generating insights and analytics
  • Improving platform performance
  • Supporting safety and product development

FLOW does not sell personal user data.

Certain infrastructure providers and subprocessors may process data solely for operating the Services.

8. Organizational Deployments

Organizations using FLOW are solely responsible for:

  • Their internal operational policies
  • Driver supervision
  • Regulatory compliance
  • Fleet deployment decisions
  • Internal data governance

FLOW is not responsible for organizational operational decisions or deployments.

9. Payments and Subscriptions

Certain Services may require payment or subscription.

All pricing, billing terms, renewal terms, and refund eligibility will be presented at checkout or within the applicable subscription plan.

Failure to pay applicable fees may result in suspension or termination of access.

9.1 Merchant of Record

Our order process is conducted by Paddle.com, which acts as the Merchant of Record for all transactions. Paddle handles payment processing, billing operations, and certain customer service inquiries related to purchases.

9.2 Billing

By purchasing a Service or subscription, you agree to pay the fees presented during checkout. Payments may be one-time or recurring depending on the selected plan.

9.3 Organizational Deployments

Certain enterprise, governmental, organizational, tactical, implementation-based, or custom deployments may be contracted, invoiced, and billed directly by Flow.Vin Ltd. outside of the Paddle self-service checkout flow.

Such deployments may be governed by separate commercial agreements, statements of work, implementation terms, or procurement procedures.

9.4 Refunds

Due to the digital nature of the Services, telemetry initialization, AI processing, and software licensing, refunds are subject to our Refund Policy and applicable Paddle policies. Certain activated or downloaded licenses may be non-refundable.

10. Termination

We may suspend or terminate access to the Services at any time if:

  • You violate these Terms
  • Your use creates operational or legal risk
  • Required by law or regulation

Users may stop using the Services at any time.

11. Intellectual Property

All FLOW software, branding, algorithms, interfaces, telemetry systems, AI models, graphics, and platform content are owned exclusively by Flow.Vin Ltd. or its licensors.

No ownership rights are transferred to users.

11.1 Derived Intelligence

While users retain ownership of raw telemetry data, any derivative behavioral models, Driver DNA signatures, analytics structures, and algorithmic improvements generated by the ADI engine remain the exclusive intellectual property of Flow.Vin Ltd.

12. Export Control and Tactical Use

The Services and related technical data may be subject to Israeli, United States, and international export control and sanctions laws.

You agree to comply with all applicable export laws and regulations.

You represent and warrant that you are not:

  • Located in a country subject to embargo or sanctions
  • Listed on any prohibited or restricted party list

Deployment of FLOW systems or ADI agents in tactical, emergency-response, military, or high-risk operational environments is performed solely at the user's own discretion and risk.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Israel, without regard to conflict of law principles.

Exclusive jurisdiction shall reside in the competent courts of Tel Aviv, Israel.

14. Changes to the Terms

We may update these Terms from time to time.

Continued use of the Services following updates constitutes acceptance of the revised Terms.
